The primary purpose of your engagement with this self-service platform is to explore potential business opportunities, collaborations, and discussions that may necessitate the exchange of confidential information. Additionally, this site aims to protect the interests of Catalyst BPX by setting forth conditions regarding the direct hiring or engagement of candidates introduced by Catalyst BPX.

 

2. Confidential Information:

Confidential Information pertains to non-public data, including but not limited to trade secrets, business strategies, financial details, proprietary technology, and product specifics. You commit to using this information solely for the intended purpose and to maintain its confidentiality.

 

3. User Obligations:

As a user, you agree to:

 

• Utilize Confidential Information exclusively for the intended purpose.
• Maintain the confidentiality of such information with reasonable care.
• Refrain from disclosing, reproducing, or distributing Confidential Information without express written consent.

 

4. Exclusions:

Confidentiality obligations do not apply to information that is public, previously known, independently developed, or rightfully received from another source without confidentiality restrictions.

 

5. Duration and Termination:

7. Hiring and Non-Solicitation:

You agree not to directly hire or engage with any employment candidates introduced by Catalyst BPX during your use of this site and for a period of two years thereafter, without compensating Catalyst BPX according to the specified fee structure.

 

8. Fee for Independent Hiring:

Should you hire an introduced candidate, you are obliged to pay Catalyst BPX a placement fee equal to 20% of the candidate’s annual base salary within 30 days of the hiring date.

 

9. Notification of Employment:

You must inform Catalyst BPX immediately of any employment offer extended to candidates introduced by Catalyst BPX, along with the terms of employment.

 

10. Governing Law and Jurisdiction:

These terms are governed by and construed in accordance with the laws of the United States of America. Any disputes arising under or related to these terms shall be subject to the exclusive jurisdiction of the federal and state courts located in the USA.

 

11. Entire Agreement and Amendments:

These terms constitute the entire agreement between you and Catalyst BPX regarding your use of this website and supersede all prior agreements and understandings, written or oral. Any amendments to these terms must be in writing and signed by both parties.

 

12. Severability:

If any provision of these terms is found to be unenforceable or invalid, such provision will be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect and enforceable.
